Service summary

You will require this registration if you intend to carry on business as a limited partnership.

A limited partnership is one formed by up to 20 people (up to 10 people if carrying on banking), at least one of whom must be a general partner (who is liable for all of the debts and obligations of the business) and at least one a limited partner (a silent partner who may not take any part in the management of the partnership business).

If a limited partnership is not registered, every limited partner is deemed to be a general partner. If the limited partnership is carrying on as a business, it may also need to be registered with the Australian Securities and Investments Commission.
