Registration of Limited Partnerships - Victoria


This registration allows you to form a limited partnership.

A partnership is made up of two or more people who jointly carry on a business for profit. Under a general partnership, all partners are equally responsible for the business, and have unlimited liability for its debts and obligations.

A limited partnership allows you to form a partnership with one or more general partners (with unlimited liability) and limited partners, whose liability is limited to the amount they have agreed to contribute to the partnership. Limited partners are passive investors and cannot be involvement in the management of the business.

To be eligible for this registration, the partnership must:

  • have a registered office in Victoria
  • have at least one general partner (and a maximum of 20)
  • have at least one limited partner (but there is no maximum number of limited partners)
  • pay any required fees.
