Incorporated limited partnership are seperate legal entities primarily established for people engaged in high-risk venture capital investments.

Eligibility requirements

To be eligible for registration, the incorporated limited partnership must have:

  • a registered office in the Northern Territory
  • a written agreement between the partners
  • at least 1 general partner (and a maximum of 20)
  • at least 1 limited partner (but there is no maximum number of limited partners).

Additionally, the incorporated limited partnership must be or intend to be registered as:

  • a Venture Capital Limited Partnership (VCLP)
  • an Early State Venture Capital Limited Partnership (ESVCLP)
  • an Australian Venture Capital Fund of Funds (AFOF)
  • a Venture Capital Management Partnership (VCMP).
